1. Acceptance of Terms

Welcome to mindox, a service provided by AND Solutions Pte. Ltd. (“AND Solutions”, “We”, or “Us“). By accessing or using the mindox platform (the “Service”), you agree to comply with and be bound by these Terms of Use (“Terms“, or “Agreement”). If you do not agree to these Terms, please do not use the Service.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE ENTITY TO THIS AGREEMENT, IN WHICH CASE “YOU” WILL MEAN THE ENTITY YOU REPRESENT.

2. Description of Service

mindox is an Intelligent Document Processing (IDP) service that utilizes artificial intelligence to automate and enhance document handling processes. Features include data extraction, smart analysis, integration, and export capabilities. The Service supports various file formats, including PDF, PNG, JPEG, JPG, and TIFF, and offers seamless file imports via API and integration with cloud storage solutions. mindox also provides tools for continuous learning and customization to improve accuracy over time.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Safeguard your password and be responsible for any activities under your account.

4. License and Access

AND Solutions grants you a limited, non-exclusive, non-sublicensable, non-transferable, non-assignable, and revocable license to access and use the Service in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose;
• Damage, disable, overburden, or impair the Service;
• Interfere with any other party’s use of the Service.

5. Data Privacy, Data Protection, Data Processing 

mindox’s current Privacy Policy is available at https://mindox.ai/privacy-policy/ (the “Privacy Policy”), which is incorporated herein by reference. Please review the Privacy Policy to learn about our information collection, use, storage, and disclosure practices with respect to information collected by Us through the Services.

If you use the Service that allows you to upload content or information, or to make contact with AND Solutions (the “User Data”), you warrant that (i) such User Data is accurate, complete, up-to-date, and does not violate or infringe any law or the privacy or intellectual property rights of any third party, and (ii) you have the legal right to share it. You indemnify AND Solutions for and against any breach of this warranty.

You hereby grant to AND Solutions a non-exclusive, irrevocable, perpetual, royalty-free, fully paid-up, worldwide right and license to use, collect, transfer, and process any such User Data only for (i) to facilitate the provision of the Service, (ii) to verify compliance with this Terms, and (iii) that AND Solutions may use such information to improve the Service. 

You further understand and acknowledge that the Service may generate data through the processing, analysis, or transformation of the User Data (the “Derived Data”). You hereby agree and understand that the Derived Data can be used for internal business purposes, including improving, testing, operating, promoting, and marketing our products and services. AND Solutions may share aggregated and anonymized Derived Data with third parties for specified purposes, ensuring compliance with applicable laws and privacy standards.

6. Service Fees and Taxes 

You will pay us the fees based on document type, extraction needs, volume, and or in a signed agreement between you and AND Solutions (the “Fees”). All Fees will be in US dollars unless otherwise agreed.

You acknowledge that it shall have no right to return the Service and that all Fees shall be non-refundable. 

All Fees and amounts payable by you under this Agreement do not include taxes and similar assessments. You are responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental or regulatory authority on any amounts payable by you under these Terms.

7. User Obligations

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity;
• Engage in activities that interfere with or disrupt the Service or the servers and networks connected to the Service.

8. Intellectual Property

All content, including text, graphics, logos, and software, is the property of AND Solutions or its licensors and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, reverse engineer, decompile, disassemble, or otherwise attempt to learn the source code, duplicate, copy, sell, resell, or exploit any portion of the Service without the express written permission of AND Solutions.

Further, you hereby agree that AND Solutions may use your name or your company’s name (as applicable) and logo, as well as any written testimonials you provide, in connection with AND Solutions’ marketing and promotional efforts, including but not limited to usage on the mindox.ai website and social media channels.

9. Termination

These Terms of Use will remain in full force and effect while you use the Service. AND Solutions may without liability, terminate these Terms of Use, or alternatively, may suspend Access to and use of the Service by giving you written notice if:

• any invoiced amount (not then-currently being disputed in good faith) is outstanding beyond the due date for payment;
• any provision of the Terms is breached; and/or
• You are in persistent or repeated breach of any of its obligations under the Terms (whether or not it is the same obligation that is breached and whether or not such breaches are remedied), 

and, in each case, you have not remedied the issue in full to AND Solutions’ satisfaction within 10 days of AND Solutions requiring it to do so.

10. Limitation of Liability

To the fullest extent permitted by law, AND Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service;
• Unauthorized access to or use of our servers and/or any personal information stored therein.

11. Changes to Terms

AND Solutions reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Service. You are advised to review these Terms periodically for any changes. Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes.

12. Data Processing and Retention

mindox employs AI and machine learning models to process your documents. You retain all rights to your data and documents/User Data. mindox does not claim ownership of the User Data. mindox will continue to store the User Data until you request deletion, ensuring uninterrupted service for your benefit or as long as necessary to provide the Service and comply with legal requirements. You can request deletion of your data at any time.

13. API Usage

If you access the Service via API, you must use the API in accordance with the documentation provided by AND Solutions. Excessive or abusive use of the API may result in temporary or permanent suspension of your access. You agree to monitor and restrict your API usage to prevent misuse.

14. Service Availability

The Service is provided to you “As is” and “As available” and with all faults and defects without warranty of any kind. While we strive to ensure that the Service is available 24/7, AND Solutions does not guarantee uninterrupted access to the Service. Maintenance, updates, or technical issues may result in temporary downtimes. We will endeavor to provide advance notice of any planned maintenance.

15. Feedback

You may provide feedback, suggestions, or ideas about the Service (“feedback”). By submitting feedback, you grant to AND Solutions a nonexclusive, worldwide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, fully paid-up license to use and exploit the feedback for any purpose.

16. Compliance with Laws

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including data protection and privacy laws. You agree to indemnify AND Solutions against any claims arising from your use of the Service that violate any laws or regulations.

17. Third-Party Services

mindox may integrate with third-party services. AND Solutions is not responsible for the functionality or security of these third-party services. Your use of third-party services is governed by their respective terms and policies.

18. Confidentiality

During the term of this Terms, either party may provide the other party with confidential and/or proprietary materials and information (the “Confidential Information”). All materials and information provided by the disclosing party and identified at the time of disclosure as “Confidential” or bearing a similar legend, and all other information that the receiving party reasonably should have known was the Confidential Information of the disclosing party, shall be considered Confidential Information. This Terms is Confidential Information, and all pricing terms are AND Solution’s Confidential Information. The receiving party shall maintain the confidentiality of the Confidential Information and will not disclose such information to any third party without the prior written consent of the disclosing party. The receiving party will only use the Confidential Information internally for the purposes contemplated hereunder. The obligations in this section shall not apply to any information that: (a) is made generally available to the public without breach of this Terms, (b) is developed by the receiving party independently from and without reference to the Confidential Information, (c) is disclosed to the receiving party by a third party without restriction, or (d) was in the receiving party’s lawful possession prior to the disclosure and was not obtained by the receiving party either directly or indirectly from the disclosing party. The receiving party may disclose Confidential Information as required by law or court order; provided that, the receiving party provides the disclosing with prompt written notice thereof and uses the receiving party’s best efforts to limit disclosure. At any time, upon the disclosing party’s written request, the receiving party shall return to the disclosing party all disclosing party’s Confidential Information in its possession, including, without limitation, all copies and extracts thereof. This obligation will survive the termination of these Terms.

20. Miscellaneous 

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

If any provision of these Terms is invalid or unenforceable, the remaining provisions will remain in full force and effect.

AND Solutions may in its sole sole discretion update these Terms from time to time. Any updated version of these Terms will be posted on https://mindox.ai/. Whenever you wish to access or use the Service, you should ensure you are familiar with the most up-to-date version.

No delay or omission on the part of AND Solutions will operate as a waiver of any right or remedy it may be entitled to at law. 

You agree that no joint venture, partnership, employment, or agency relationship exists between you and AND Solutions because of the Terms or your use of the Service.
